1. Introduction & Acceptance
These Terms of Service ("Terms") form a binding agreement between you and Piensi LTD ("Piensi", "we", "us", or "our"), the operator of the Monolite service available at getmonolite.com and any related websites, mobile experiences, and APIs (collectively, the "Service").
By creating an account, joining an event, or otherwise accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.
2. Definitions
- Service - the Monolite platform, including all software, content, templates, APIs, and related features made available by Piensi LTD.
- User - any individual who accesses the Service, whether as an Organizer or a Participant.
- Organizer - a User who creates a Workspace, designs Events, and runs them for an audience.
- Participant - a User who joins an Event, typically by scanning a QR code or following a link, and submits responses.
- Workspace - an organizational container that holds Events, members, roles, and settings.
- Event - a session run on the Service, including trivia, "Versus", live polls, and similar interactive formats.
- Content - any text, images, questions, answers, audio, video, names, or other data submitted to, generated by, or displayed through the Service.
3. Eligibility & Account Registration
You must be at least 16 years old to create an account. If you are under the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.
When registering, you agree to provide accurate, current, and complete information, to keep it up to date, and to maintain the confidentiality of your credentials. You are responsible for all activity that occurs under your account. You may not share your account with others or create more than one account per person except where expressly permitted.
You agree to notify us promptly at anil@getmonolite.com of any unauthorized use of your account or any other security incident you become aware of.
4. Accounts, Workspaces & Roles
The Service allows you to create Workspaces and to invite or admit other Users into them. Each User within a Workspace may be assigned a role (for example, owner, administrator, member, or guest participant), which determines the actions they can perform.
Workspace owners and administrators are responsible for the configuration of their Workspace, the Content stored in it, the Events they run, the invitations they extend, and for ensuring that all members comply with these Terms. If you are an Organizer, you are responsible for any notices and consents your Participants may require under applicable law, including data-protection law.
Participants are responsible for the Content they submit during an Event and for behaving respectfully toward Organizers and other Participants.
5. Acceptable Use Policy
You agree that you will not, and will not allow any third party to:
- use the Service to violate any applicable law, regulation, court order, or third-party right;
- upload, transmit, or display Content that is unlawful, defamatory, hateful, harassing, threatening, sexually explicit involving minors, or that incites violence or discrimination;
- infringe the intellectual property, privacy, publicity, contract, or other rights of any person or entity;
- distribute malware, viruses, worms, or any other malicious code, or attempt to gain unauthorized access to the Service or its underlying systems;
- interfere with, disrupt, overload, or attempt to reverse-engineer the Service;
- scrape, crawl, harvest, or copy substantial portions of the Service without our prior written consent;
- use the Service to facilitate cheating on exams, certifications, or other assessments where doing so violates the rules of the assessing body;
- send unsolicited communications, spam, or chain messages through the Service;
- misrepresent your identity or impersonate another person, organization, or Monolite staff.
We may, at our discretion, investigate suspected violations and take any action we consider appropriate, including removing Content, suspending or terminating accounts, and cooperating with law enforcement.
6. User Content & License
You retain all ownership rights in the Content you submit to the Service. We do not claim ownership of your Content.
To operate the Service, you grant Piensi LTD a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, display, adapt (for technical formatting), and otherwise process your Content solely as necessary to provide, secure, improve, and develop the Service, to enforce these Terms, and to comply with the law. This license ends when you delete the relevant Content, except where retention is required for backup, legal, security, or fraud-prevention purposes for a limited period.
You represent and warrant that you have all rights necessary to grant the license above, and that your Content does not violate these Terms or any applicable law.
We do not pre-screen Content, but we may review, remove, or refuse to display any Content that we reasonably believe violates these Terms or harms Users, third parties, or the Service.
7. Intellectual Property
The Service, including the underlying software, design, graphics, templates, logos, the "Monolite" name, and all related intellectual property rights, is and remains the exclusive property of Piensi LTD and its licensors. Except for the limited rights explicitly granted to you in these Terms, no rights are granted or transferred to you.
You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service, except as expressly permitted by these Terms or by mandatory law.
We welcome feedback. If you submit ideas, suggestions, or feedback about the Service, you grant Piensi LTD a perpetual, irrevocable, royalty-free license to use them without any obligation to you.
8. Third-Party Services
The Service relies on third-party providers for hosting, authentication, email delivery, analytics, and similar infrastructure. The Service may also link to, or integrate with, third-party websites or services. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their content, availability, or practices.
A list of the categories of processors we rely on is provided in our Privacy Policy.
9. Subscriptions, Billing & Refunds
The Service is currently offered with a free tier. We may introduce paid plans, add-ons, or premium features at any time. If you subscribe to a paid plan, the following terms apply:
- Fees. You agree to pay all applicable fees in the currency and on the schedule shown at the time of purchase, including any taxes that apply.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You may cancel at any time from your account settings.
- Refunds. Except where required by mandatory consumer law, fees are non-refundable. We may, at our discretion, issue partial or full refunds on a case-by-case basis.
- Price changes. We will give you at least thirty (30) days' notice of any price increase, effective at the start of your next billing period.
- Failed payments. If payment fails, we may suspend or downgrade your access until payment is received.
10. Beta Features & Service Changes
From time to time we may make pre-release, "beta", or experimental features available. These features are provided "as is", may be modified or removed at any time, and may be excluded from any service-level commitments.
We may modify, add, or discontinue features of the Service at any time. If we discontinue a paid feature you actively use, we will use reasonable efforts to give you advance notice and, where appropriate, a pro-rata refund for any unused prepaid period.
11. Suspension & Termination
You may close your account at any time from your account settings or by contacting anil@getmonolite.com.
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if we reasonably believe that you have violated these Terms, that your use creates a risk to the Service or to other Users, or that we are required to do so by law.
Following termination, your right to use the Service ceases immediately. We may delete your Content and account data in accordance with our standard retention practices described in the Privacy Policy. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
12. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Piensi LTD disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
We do not warrant that the Service will meet your requirements, that it will be secure against every threat, or that any specific Content (including questions, scores, or analytics) will be accurate or complete. The free tier of the Service is not covered by any uptime guarantee.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Piensi LTD, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with the Service or these Terms, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of (a) the amount you actually paid to Piensi LTD for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD 100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or wilful misconduct.
14. Indemnification
You agree to defend, indemnify, and hold harmless Piensi LTD and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (i) your use of the Service; (ii) your Content; (iii) your violation of these Terms; or (iv) your violation of any law or third-party right.
15. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of England and Wales, without regard to its conflict-of-law principles. The courts of England and Wales will have exclusive jurisdiction, except that we may seek injunctive or equitable relief in any competent court to protect our intellectual property or confidential information.
If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose mandatory consumer-protection laws grant you the right to bring or defend claims in your local courts or under your local law, nothing in this section deprives you of that right.

16. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will provide at least thirty (30) days' advance notice - for example, by email to the address associated with your account or by an in-product notice - before the changes take effect. Non-material changes (such as clarifications and typographical corrections) may take effect immediately.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those Terms. If you do not agree, you must stop using the Service before the effective date.
17. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any order forms or supplemental terms you accept, constitute the entire agreement between you and Piensi LTD regarding the Service and supersede any prior agreements on the same subject matter.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
No waiver. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Force majeure. We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, network or infrastructure failures, or labor disturbances.
